Terms & Conditions of Service

Effective Date: 15/11/2025 Last Updated: 01/12/2025

These Terms & Conditions govern the relationship between Zynergy Power Limited (“Zynergy Power”, “we”, “our” or “us”) and any non-domestic customer (“you”, “your”, “Customer”) using our services, whether via our website, telephone, email or other means. By engaging with Zynergy Power, you agree to be bound by these terms, our Privacy Policy, and any supplementary terms communicated to you.

1. Overview

Zynergy Power operates as an energy consultancy and intermediary, helping businesses compare energy prices, switch suppliers, renew contracts and check existing agreements. These services may include price comparison, switching support, and contract checking. We may receive commission from suppliers for successful introductions, which does not affect our impartiality.

2. Key Definitions

  • Client/Customer: Any eligible business entity engaging our services.
  • Supplier: A third-party utility provider offering energy or water services.
  • Contract: An agreement entered into between the Customer and the Supplier.
  • Services: All activities provided by Zynergy Power, including comparisons, contract support, and switching assistance.
  • Letter of Authority (LOA): A document you may be asked to sign, allowing us to liaise with your current or potential suppliers.
  • Commission: Fees paid by Suppliers to Zynergy Power for successful contract introductions.
  • Cancellation Charge: A fee payable if a Customer reverses their decision after committing to a Supplier contract.

3. Eligibility to Use Services

To access our services, you must:

  • Operate as a UK-based business (not a domestic/residential customer)
  • Be at least 18 years old (if a sole trader)
  • Pass credit checks if required by a Supplier
  • Provide accurate and complete information when requested.

Zynergy Power reserves the right to decline service provision at its discretion.

4. Nature of Our Services 4.1 Price Comparisons

We will present quotes from selected Suppliers. Any quote provided is subject to change or withdrawal by the Supplier at their discretion. 4.2 Switching SupportIf you choose to switch, we will assist in coordinating the transition between Suppliers. However, delays or failures caused by the Supplier or existing provider are outside our control. 4.3 Contract HandlingYou must verify the accuracy of your information before contract finalisation. If amendments are needed, notify us promptly. Changes may impact pricing or cause delays. 4.4 Cancellation Charges

If you revoke your agreement after committing to a Supplier via us, a cancellation fee of £150 + VAT may apply.

5. Use of Letters of Authority (LOA)

When engaging us for contract checks or switches, you may be required to sign an LOA. This allows Zynergy Power to request contract details or communicate directly with your Supplier(s).

6. Our Commission and Charges

We may receive commission from a Supplier if you enter a contract through us. This is typically based on an agreed uplift in unit cost. For example, if the wholesale rate is 10p/kWh and an uplift of 0.3p/kWh is added, our commission would be 0.3p/kWh.

  • Commission is paid by the Supplier, not you directly
  • You will not be charged for our standard services unless stated otherwise
  • If a Supplier reclaims commission due to contract reversal, you agree to reimburse us

7. Customer Responsibilities

You agree to:

  • Provide accurate and current details when requested
  • Comply with Supplier terms and conditions
  • Keep any login credentials or identifiers secure
  • Notify us of any errors or issues promptly

8. Intellectual Property

All content, designs, software and systems used by Zynergy Power remain our intellectual property or that of our licensors. Use of our materials without permission is strictly prohibited.

9. Termination

We may suspend or terminate services:

  • If you breach these Terms
  • If fraud or misuse is suspected
  • If legally required to do so

You may also stop using our services at any time, provided no active Supplier contract arranged through us is being cancelled or breached.

10. Our Liability

While we strive to deliver accurate and helpful information:

  • We are not responsible for errors or delays caused by third-party Suppliers
  • Our maximum liability is limited to the commission earned on the affected contract
  • We do not accept liability for loss of profits, contracts, data, business opportunity, or indirect damages

This does not limit liability for death or injury caused by our negligence or any liability we cannot legally exclude.

11. Data Handling

Your personal and business data will be processed in line with our Privacy Policy and may be used to:

  • Run credit and eligibility checks
  • Investigate supply data from industry databases
  • Assist in contract delivery.

12. Force Majeure

We are not liable for delays or failures caused by events beyond our control, including but not limited to natural disasters, regulatory action, strikes, or infrastructure breakdown.

13. General Provisions

  • Severability: If part of these Terms becomes unenforceable, the rest remain valid.
  • No Waiver: Delay or failure to enforce rights does not waive them.
  • Assignment: We may transfer rights or obligations to another party; you may not do so without our consent.

14. Dispute Resolution and Governing LawThese Terms are governed by English law. Any disputes will be subject to the jurisdiction of the courts of England and Wales.
